Buying or Selling a Business

How a business sale or purchase works.

A business changes hands in a handful of clear stages. Here is how we guide you through each one, from the first conversation to the day you take over.

  1. 01

    Initial advice & scope

We start by understanding the business, your goals and your budget, then confirm the scope of our work in writing so you know what to expect and what it will cost.

  2. 02

    Due diligence & searches

Before anything is signed, we run the searches that matter, company and PPSR, planning, licences and the Section 52 statement, and have the figures reviewed so you know exactly what you are buying.

  3. 03

    Contract of sale & conditions

We review or prepare the contract and negotiate the conditions that protect you: finance, assignment of the lease, restraint of trade, employee entitlements, and the plant and equipment changing hands.

  4. 04

    Towards settlement

We satisfy the conditions, adjust employee entitlements and outgoings, and make sure any mortgage or security over the business is dealt with before settlement.

  5. 05

    Settlement & handover

We complete settlement, attend to the transfers and licences, and see the handover through cleanly, so you can get on with running the business.
